Happy Tappy Terms of Service

Welcome to Happy Tappy! These Terms of Service ("Terms") govern your access to and use of the Happy Tappy application ("App"), operated by ZeroCodeLabs ("we," "us," "our"), registered in accordance with European regulations, and designed to comply with applicable laws in the United States.

By downloading, accessing, or using the Happy Tappy App ("Service"), you agree to these Terms.

1. Description of Service
Happy Tappy is a digital competition and customer loyalty application. Bars and hospitality businesses ("Merchants") create competitions ("Happy Hours"), converting their promotional budgets into cash prize jackpots. Guests earn points by making full-priced purchases during these events. At the competition's end, top-scoring guests share the jackpot, distributed in USDC (a regulated stablecoin pegged to the US dollar).

Happy Tappy does not offer gambling services, traditional discounts, or direct cash payments. Instead, it facilitates engaging experiences through competitions based on guest purchases.

2. Eligibility

• Users must be 18 or older.

• Merchants must provide accurate and current business information upon registration.
   

3. How it Works (Transactions and Payments)

• Merchants set up monthly jackpots by linking their business payment cards (credit/debit) through secure payment providers (e.g., Stripe).

• Funds provided by Merchants are securely converted into USDC (a regulated digital stablecoin) and held in escrow.

• Guests make full-price purchases, accumulating points to participate in monthly jackpot competitions.

• At the end of each competition cycle, the collected jackpot is automatically distributed to winners' non-custodial USDC wallets within the app.
   

4. Non-Custodial Wallets and Stablecoins

• Upon registration, guests receive a non-custodial digital wallet capable of receiving stablecoins (USDC).

• Stablecoin balances (USDC) can be withdrawn externally by guests anytime once the minimum balance threshold ($10 USD) is reached.

• Happy Tappy does not have custody or direct access to user funds or private keys. Users are solely responsible for the security and management of their wallets.
   

5. User Obligations
You agree:

• Not to misuse, manipulate, or exploit the Service.

• To provide accurate and truthful information.

• To safeguard your account access.
   

6. Merchant Obligations
Merchants agree:

• To honor the promotional terms and conditions defined through the Happy Tappy platform.

• To ensure their listed menus and competitions accurately reflect available products and prices.
   

7. Privacy and Data Use
Happy Tappy respects your privacy and is committed to protecting your personal data. We collect only essential information necessary to provide and enhance our services, including account management, secure transaction processing, analytics to improve engagement, and compliance with regulatory requirements (GDPR in the EU, CCPA in the US). Your personal information is never sold to third parties. Transaction data shared with bars is anonymized and used solely for analytical purposes to help them improve guest experiences. You retain full control over your non-custodial wallet, as we neither hold nor access your wallet’s private keys.

• Merchants have access to anonymized analytics data regarding competition performance (e.g., guest engagement and purchasing patterns).
   

8. Prohibited Content and Activities
Currently, Happy Tappy does not permit user-generated content. However, in future implementations, the following will remain strictly prohibited:

• Offensive, discriminatory, or harmful content.

• Illegal activities or promotions.

• Infringement of intellectual property rights.
   

9. Liability and Disclaimer

• Happy Tappy acts solely as a digital platform facilitating promotional competitions.

• We are not responsible for disputes between Merchants and guests regarding product or service quality.

• Merchants bear sole responsibility for compliance with applicable laws, including alcohol sales regulations and consumer rights.
   

10. Data Privacy
We respect your privacy. Happy Tappy collects only necessary data required to deliver and improve our services, such as managing user accounts, processing secure payments, and facilitating competitions. We do not store or have access to your wallet's private keys. Your data is securely handled, anonymized whenever possible, and never shared without your explicit consent.

10. Modification of Terms
We reserve the right to modify these Terms at any time. You will be notified through the App. Your continued use constitutes acceptance of updated terms.

11. Termination of Access
We reserve the right to suspend or terminate user accounts violating these Terms or applicable laws.

12. Liability Limitations
Happy Tappy shall not be liable for indirect, incidental, or consequential damages arising from your use of or inability to access the Service.

12. Compliance with Regional Laws

• The Service complies with EU GDPR, California Consumer Privacy Act (CCPA), and other applicable local regulations.

• Merchants must comply with local advertising and promotional laws in their jurisdictions.

Happy Tappy fully complies with:

• Apple App Store:

  • Section 3.1: Payments for jackpots are processed externally via card payments by merchants; guests receive rewards as stablecoins.

  • 3.1.5(a): Digital assets (USDC stablecoins) are transferred directly to users' non-custodial wallets, ensuring transparency and compliance.

  • No direct gambling or real-money gaming features are implemented.
     

Google Play Compliance:

• Fully adheres to Google’s Payments, Gambling, and Privacy policies.

• Digital rewards are explicitly stablecoin-based, clearly communicated, and transparently managed.
